We acted as advisers to the majority shareholders on a restructuring transaction that ensured continuity and management succession.

What we did

PEM Corporate Finance acted as advisers to the majority shareholders, Chris Wilkinson and Jim Eyre, on a restructuring transaction designed to ensure continuity and management succession at Wilkinson Eyre Architects (WEA). Chris and Jim significantly reduced their holdings in the company to more evenly distributed ownership among the existing team of directors.

Company background

Wilkinson Eyre Architects is one of the UK’s leading architectural practices and employs over 100 staff at its office in Central London. The practice has won over 100 design awards and is the only practice to have received the prestigious RIBA Stirling prize two years in a row for Magna in Rotherham in 2001 and the Gateshead Millennium Bridge – which currently features on the new £1 coin – in 2002.

What was special?

The deal was completed in three months including a full bank finance raising. Despite the short timescale, a creative and flexible structure was put in place to meet the requirements of all parties.

Deal structure

The deal was supported with senior debt funding from HSBC Corporate in Cambridge and equity finance from the WEA management team.
