Majority sale of shares for Orbital Fabrications
PEM Corporate Finance were appointed by Orbital Fabrications to provide M&A advice on the sale of 80% of its shares.
We advised Titan Motorsport, an engineering company that started as a racing team, on the successful management buyout of the company.
Over 40 years ago, Titan was established as a racecar manufacturer but has evolved into a specialist component producer and is often supporting clients to deliver complex engineering projects. At present, Titan specialises in the design and manufacture of steering, suspension, and engine components for use in the motorsport, automotive, and scientific industries.
Ralph Timms and Diana Thomas are retiring from the business and transferring ownership to a new shareholder team comprised of George Lendrum (CEO), Eamonn Byrne (FD) and Michael Sheridan (COO). The new shareholders were already a part of the Titan leadership team and thus there will be no disruption to staff, clients, and other key stakeholders.
The transaction saw a new company formed to acquire Titan, allowing the Vendors to exit completely from the business and for the management team which had been running it for sometime to assume ownership.
