Majority sale of shares for Orbital Fabrications
PEM Corporate Finance were appointed by Orbital Fabrications to provide M&A advice on the sale of 80% of its shares.
PEMCF advised the directors on a succession structure for Cambridge Publishers Ltd.
We advised on a management buyout to achieve an orderly succession of ownership of the company.
Cambridge based CPL was founded in 1996 as Cambridge Publishers Limited. It provides content marketing services such as video, copywriting and graphic design across both digital and print channels. Its clients include AB InBev, AstraZeneca and EY, the Chartered Institute of Marketing, and Newmarket based Godolphin racing and breeding organisation.
We worked over a period of time with the shareholder of CPL to plan, structure and negotiate a management buyout to facilitate and orderly and sustainable succession of the company. It was important to achieve succession for the two founding shareholders, but also to ensure continuity for the business and for its clients. Long standing CEO and shareholder Mike Sewell took control while at the same time the founders retained some involvement, and it was possible for the ownership of the business to be spread more widely amongst key staff.
