Sale of Chell Instruments

We acted as lead advisers to the Vendors at Chell Instruments Ltd on the sale of the company to SDI Group plc.

What we did

PEM Corporate Finance acted as lead advisers to the Vendors, Ron Mitchell and Nick Broadley. An extensive marketing process was designed and managed by PEMCF.  This attracted strong interest from UK and international buyers, both financial and trade.  Chell was eventually acquired by SDI Group plc which already had a family of complementary businesses in niche segments of the scientific and industrial instrumentation sector.

Company background

Founded by Ron and Judith Mitchell in 1976, Chell Instruments Ltd designs, tests and manufactures sophisticated instruments for the measurement and control of gas pressures and flows for application in niche industrial sectors such as aerospace, Formula One racing and nuclear power.

What was special?

In 2011, Lake Falconer and his team met the Chell directors for the first time. Regular contact was maintained over the years with PEMCF giving valuable input to the development and grooming of the company, and the formulation of an exit plan. This plan was eventually realised with the sale of the company to an AIM-quoted group which already had a strong portfolio of complementary businesses and the resources to drive further growth at Chell.

Deal structure

SDI acquired 100% of the share capital. Nick Broadley remains in his role as Managing Director.
