/ Completed deal

An innovative display and control system for the media broadcast sector called Intelligent Display Systems (IDS) has been acquired by Denistron from Independent Project Engineering (IPE Technologies). The acquisition gives Densitron a further product innovation boost in the broadcast sector and will deliver accelerated growth of the customer base for the IDS platform via Densitron’s global reach and increased investment.

The IDS platform has been a flagship product for Melbourn-based IPE Technologies for more than 10 years. It combines proprietary hardware and software allowing broadcasters to connect, control and automate devices and activities in and around the studio. Up to this announcement, the IDS platform has been the centrepiece of a technical alliance between the IPE and Densitron, integrating seamlessly with the wide range of Densitron displays

As part of the transaction, the IDS platform sales and engineering specialists at IPE Technologies transferred to Densitron to ensure absolute continuity of service and further innovation.

Reuben Such, formerly of the IPE Technologies management team, has moved to Denistron and appointed Global Business Development Director for IDS. Commenting on the deal, Reuben said:

“We have worked with Densitron for over 18 months already, co-exhibiting the IDS platform with Densitron HMI and display technology at a number of industry trade shows. The synergy of the products and teams across the two organisations was apparent, so we are excited to accelerate growth in IDS now that we can enjoy the support of the wider Densitron organisation.”

IPE Technologies Managing Director, Colin Judge said:

“This is an exciting opportunity to realise the value of the IDS technology, and just as important to see it become part of a larger organisation with the resources to speed its growth. This was the culmination of process we began with an Exit Strategy Planning review with PEM Corporate Finance and it was good to work with their transaction tax specialists to make the deal tax efficient.”

PEM Corporate Finance were appointed by IPE to oversee the sale of the IDS platform. Transaction tax specialist Jan Fachot said:

“In addition to project managing the sale process, Judith Pederzolli and I provided tax advice on structuring the sale and as a result, IPE were able to benefit from tax changes introduced by the government over the last few years to encourage divestment thereby make the disposal much more cost effective.”

Legal advice was provided by Mark Williams at Greene & Greene Solicitors.
